Website Terms & Conditions
These terms and conditions are an agreement between you and Saskatchewan Mutual Insurance Company (“SMI”) regarding your use of the SMI website and online services, including all features and functionalities and all associated content (collectively, the “SMI Website”). By accessing and continuing to use the SMI Website, you expressly agree to be bound by the terms and conditions described below, as well as any additional services terms which are published on the applicable webpage. If you do not agree with these terms and conditions, please exit the SMI Website immediately.
1. SMI Website
Information Provided as Service Only. The documentation and information available on the SMI Website are provided as a service only and are not the official versions of the company’s securities law disclosure documents. Please be advised that the information and documents available on the SMI Website are not intended to provide specific legal, accounting, financial or tax advice to you.
Information May Not be Current. Please be advised that the information on the SMI Website may not always be the most current source for company information. SMI disclaims any liability for any failure to update information on the SMI Website.
Changes to Website. The information in the SMI Website is subject to change without notice. SMI may, at its sole discretion, enhance, delete or modify the features, format, characteristics, functionality, and/or the procedures to use the SMI Website, the information available to you through use of the SMI Website and upgrades or updates to the SMI Website.
Changes to Terms and Conditions. SMI may also amend the Website terms and conditions from time to time by providing such revised terms and conditions to you or by publishing the revised terms and conditions on the SMI Website. You are responsible for periodically reviewing the amendments on the SMI Website and you are deemed to be aware of such amendments. Your continued use of the SMI Website shall constitute your acceptance to be bound by the revised terms and conditions.
2. Your Account
User ID and Password. You may be required to adopt a user ID and password in order to use some portions of the SMI Website (the “Login Information”). You are solely responsible for maintaining the confidentiality of your Login Information and agree to use commercially reasonable efforts: (i) to protect the security of your Login Information; (ii) not to permit individuals other than employees or contractors approved by you to use the Login Information to gain access to the password-protected portions of the SMI Website; (iii) not to disclose any Login Information to any person except on a need-to-know basis; and (iv) to ensure that employees or contractors approved to access the SMI Website on your behalf do so only in connection with your business purposes.
Account Suspension. SMI may suspend, cancel or otherwise limit access to your account if there is suspicion of fraudulent or illegal activity, abuse, misuse or error.
Unauthorized Access to the Account. You agree to immediately notify SMI in writing of any loss, unauthorized disclosure or actual or suspected unauthorized use of your account.
3. Privacy and Data
User Privacy Obligation. You will not breach or attempt to breach the SMI Website server(s), software security, nor attempt to access the information of another individual without appropriate authorization or otherwise invade the privacy of others in connection with the use of the SMI Website.
Data Security and Integrity. You shall have sole responsibility for the accuracy, currency, quality, integrity, legality, reliability, and appropriateness of any data, information or materials gathered, compiled, uploaded, created or authored by you using the SMI Website, and SMI shall not be responsible or liable for the deletion, correction, destruction, damage, loss or failure to store, monitor or transmit any data. SMI shall not be responsible for adequate security, archival and/or back-up procedures on your behalf. Further, SMI will not be liable for any type of communication or data, or the accuracy or sufficiency of the content thereof, which is uploaded or downloaded through your access or use of the SMI Website.
4. Intellectual Property Rights
Copyright. The SMI Website is protected by copyright laws. Its content cannot be altered without breaching SMI’s rights and moral rights. All text, illustrations, graphics and images displayed on the SMI Website are the property of SMI and will remain SMI’s property unless stipulated otherwise. They cannot be sold, reproduced, copied, modified, published or distributed, in whole or in part under any circumstances, without express permission from SMI. Any content from the SMI Website cannot be referenced or transmitted to newsgroups, mail lists, emails or electronic bulletin boards, incorporated into any other websites or connected via links to the SMI Website without prior written consent from SMI.
Trademarks. Trade names and trademarks of SMI are registered and/or used in Canada and include specific names, words, titles, phrases, logos, icons, graphics, designs and/or other content in the SMI Website. These trade names and trademarks represent part of SMI’s intellectual property and users cannot use them without the express consent from SMI. Any unauthorized downloading, retransmission, copying or modification of trademarks and/or the contents of the SMI Website may be a violation of federal law or other law that may apply to trademarks and/or copyrights and may give rise to legal action.
Reserve of Rights. All rights not expressly granted in these terms are reserved to SMI. Nothing in these terms shall be construed as conferring by implication, estoppel or otherwise any license or right under any copyright, patent, trademark or other intellectual right of SMI or any other person or entity.
5. Warranty and Disclaimer
General Warranty Disclaimer. Other than as expressly set forth in these terms and conditions, SMI makes no representations, warranties or covenants to any person or entity with respect to the SMI Website. Except as set forth above, the SMI Website is provided on an “as-is” and “as available” basis. You are solely responsible for all data and information which has been entered, removed or used in connection with your User ID and account. SMI does not give any warranties, guarantees, representations or conditions, whether express, implied, statutory or otherwise (including, without limitation: any implied warranty of merchantability; functionality of the SMI Website; the user interface; fitness for a particular purpose; accuracy of data; compliance with any description; or non-infringement of third party rights) with respect to any of the SMI Website and all such warranties are hereby disclaimed to the maximum extent permitted by applicable law.
No Warranty of Website Availability. SMI does not guarantee the accuracy, timeliness or completeness of any information or document on the SMI Website nor that the SMI Website may be provided without interruption or error free. SMI does not warrant that it will be able to correct all reported defects in the SMI Website. SMI does not guarantee that the SMI Website and access to your account will always function without disruptions or delay. Since the SMI Website will be facilitated and/or transmitted through public internet lines, communications networks and public and/or private switched telephony network(s) (as the case may be), you understand that there may be service disruptions or outages.
6. Limitation of Liability and Indemnity
Liability Exclusion. To the maximum extent permitted by applicable law, in no event will SMI be liable to any party for any direct, indirect, special or other consequential damages for any use of this Website, or on any other hyperlinked website, including, without limitation, any lost profits, business interruption, loss of programs or other data on your information handling system or otherwise, even if we are expressly advised of the possibility of such damages. This exclusion includes any liability that may arise out of third party claims against you or SMI.
Maximum Liability. Notwithstanding the Liability Exclusion above, the aggregate liability of SMI for all claims of any kind whether based in contract, indemnity, warranty, tort (including negligence), strict liability or otherwise, for all losses or damages arising out of, or resulting in connection with this agreement, from the performance or breach thereof, or from the provision of the SMI Website, will in no case exceed the amount, if any, paid by you to access the SMI Website in the year in which the claim arose.
Indemnity. You hereby agree to defend, indemnify, and hold harmless SMI, its officers, directors, assigns, and service providers and their respective successors and assigns, from and against any and all claims and all costs, liabilities and expenses (including, without limitation, reasonable legal fees) arising out of or relating to your use of the SMI Website, your account, or Login Information.
7. Security of Information
SMI Security Measures. SMI has taken reasonable steps to assist in the protection of your information, including the implementation of reasonable internal security policies and procedures. Data shall be encrypted to reduce the risk of interception, use and modification by third parties. Access to your account is secured by internet security protocol(s), provided that your web browser supports 128-bit encryption, which is standard in current versions of Microsoft Internet Explorer, Mozilla Firefox and Google Chrome. SMI will continue to monitor security issues and will update and improve security when it is reasonable and practical to do so.
Your Security Responsibilities. You recognize that complete confidentiality and security is essential when using the SMI Website to transmit any data to SMI. However, it is important to note that the internet is not a secure method of communication and use of the internet and communications over the internet is subject to possible interception, loss and alteration, which compromises the confidentiality and security of such use and communications. Without the use of encryption, communication through the internet or electronic communication is not secure and privacy cannot be ensured. You should not communicate any personal information to SMI through unsecured means. Any information communicated by you to SMI through unsecured means shall be deemed non-confidential and SMI will not be liable in any manner for any damage caused to a third party as a result of such unsecured communication, including without limitation, use by SMI of such information.
Inaccurate Copies. Please note that internet software or transmission problems could produce inaccurate or incomplete copies of various documents when downloaded and displayed on your computer and reference should always be made to the official versions of such documents.
Log Off Account. You should sign off from the SMI Website prior to proceeding with any activities that are not related to SMI.
9. Links to Other Websites
Link to External Sites at your Risk. Links from or to internet sites outside the SMI Website are meant for convenience only and your access to them is at your own risk. The publishers of the outside sites manage their content, which is not reviewed or approved by SMI. These links are not endorsements, guarantees or recommendations by SMI of the products or services offered on those sites. SMI cannot guarantee that these links are functional or secure and cannot be held responsible for damages or prejudice of any nature resulting from the use or the content of the other sites connected to the SMI Website through links.
Additional Agreements. You acknowledge and agree that your use of the SMI Website, and in particular, the password-protected portions of the SMI Website, may require you to enter into one or more additional agreements. These terms and conditions and any additional agreements are intended to be correlative, complementary and mutually explanatory of one another. However, in the event of a conflict, inconsistency or ambiguity between the terms of any additional agreement and these terms and conditions, the terms of the additional agreement shall prevail unless expressly stated otherwise in the additional agreement.
